1. Agreement to Terms

By accessing or using any services provided by Belton AI LLC ("Company," "we," "us," or "our"), including but not limited to "The Insider" membership program, you agree to be bound by these Terms & Conditions. If you do not agree to these terms, you may not access or use our services.

2. Membership Services

Belton AI LLC offers various membership tiers that provide access to exclusive content, including:

The Insider ($1/month) - Access to work-in-progress AI productions, pitch decks, project updates, and members-only content
The Library ($5/month) - Enhanced access to additional content and resources
The Academy ($49/month) - Educational content and training materials
The Lab (Custom Quote) - Premium production services with personalized support

Membership is billed on a monthly recurring basis. You may cancel your membership at any time; however, access to member content will cease immediately upon cancellation. No refunds will be provided for partial months.

3. Non-Disclosure Agreement (NDA)

Important: By signing up for The Insider membership, you are required to execute a Non-Disclosure Agreement. A signed copy of the NDA will be emailed to you upon registration.

The NDA governs your obligations regarding confidential information and remains in effect for five (5) years from the date of signing. Key provisions include:

Maintaining strict confidentiality of all disclosed information
Prohibition on sharing, publishing, or disclosing any confidential materials to third parties
Prohibition on recording, screenshotting, or capturing confidential content by any means
Using confidential information only for the stated purpose of membership participation
Returning or destroying all confidential materials upon membership termination

4. Definition of Confidential Information

For the purposes of these Terms and the associated NDA, "Confidential Information" includes, but is not limited to:

AI productions, videos, films, and technical initiatives in progress
Pitch decks, presentations, and visual materials
Business strategies, partnerships, and pitch target information
Project status updates and behind-the-scenes content
Members-only content and proprietary methodologies
Any information designated as confidential or reasonably understood to be confidential

5. Intellectual Property

All content, materials, and intellectual property provided through our services remain the sole and exclusive property of Belton AI LLC. This includes, but is not limited to:

Video productions and creative works created by the Company
Written content, articles, and documentation
Graphics, logos, and visual designs
Proprietary methods, processes, and workflows
Training materials and educational content

Nothing in these Terms or the NDA grants you any rights or license to use our intellectual property except for personal viewing as part of your membership.

Client & Student Work Exception: When clients or students engage Belton AI LLC for production services, consulting, or educational projects, the intellectual property created specifically for that client or student shall remain the property of the client or student, unless otherwise agreed in writing. The Company retains no ownership rights to works created on behalf of clients or students.

6. Feedback and Contributions

Members may have the opportunity to provide feedback, comments, ideas, suggestions, or other input ("Feedback") regarding projects, content, or services. By providing Feedback, you acknowledge and agree that:

All Feedback is provided voluntarily and without expectation of compensation
No compensation, royalties, or other consideration shall be owed to you for any Feedback provided
You waive any claims to compensation, ownership, or intellectual property rights arising from such Feedback
Belton AI LLC may freely use, implement, modify, or disclose any Feedback without obligation to you

Compensation Agreement: Any arrangement for compensation related to Feedback, contributions, or creative work must be agreed upon separately in writing and signed by both parties prior to the work being performed. Verbal agreements or informal communications do not constitute binding compensation agreements.

7. User Conduct

As a member, you agree to:

Provide accurate and complete information during registration
Maintain the confidentiality of your account credentials
Not share your membership access with others
Not attempt to circumvent any access controls or security measures
Not use our services for any unlawful purpose
Comply with all applicable laws and regulations

8. Digital Signature

By typing your full legal name in the signature field during registration, you acknowledge that:

Your typed signature constitutes a legal electronic signature
It has the same legal effect and enforceability as a handwritten signature
You have read and understood the NDA in its entirety
You are legally authorized to enter into this agreement

9. Remedies for Breach

You acknowledge that any breach of these Terms or the NDA may cause irreparable harm to Belton AI LLC, and that monetary damages may be inadequate. In addition to any other remedies available at law or in equity, the Company shall be entitled to seek:

Injunctive relief to prevent further breaches
Specific performance of your obligations
Recovery of damages, including legal fees and costs

10. Limitation of Liability

To the maximum extent permitted by law, Belton AI LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services. Our total liability shall not exceed the amount paid by you for membership fees in the twelve (12) months preceding the claim.

11. Termination

We reserve the right to terminate or suspend your membership at any time, with or without cause, and with or without notice. Upon termination:

Your access to member content will be revoked immediately
You must return or destroy all confidential materials in your possession
Your confidentiality obligations under the NDA remain in effect

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflicts of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Georgia.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the modified Terms.

14. Entire Agreement

These Terms, together with the Non-Disclosure Agreement and any other agreements referenced herein, constitute the entire agreement between you and Belton AI LLC concerning your use of our services and supersede all prior agreements, understandings, and communications.
